Massachusetts Development Finance Agency

The Massachusetts Development Finance Agency (“MassDevelopment”) will meet at 10 a.m. on April 27, 2022, with respect to the proposed amendment by MassDevelopment, acting under and pursuant to Massachusetts General Laws, Chapters 23G and 40D, as amended, of the terms of the Massachusetts Development Finance Agency Revenue Bonds, Jewish Family and Children’s Issue, Series 2014, in the aggregate original principal amount of $4,444,120.35 (the “Series 2014 Bonds”).

    Said amendment of the terms of the Series 2014 Bonds will be deemed a current refunding of the Series 2014 Bonds under the Code. The Series 2014 Bonds, currently outstanding in the principal amount of $2,937,218, constitutes the maximum aggregate principal amount of the Series 2014 Bonds immediately following such amendment.

    The proceeds of the Series 2014 Bonds were used to provide for the financing or refinancing of, or the reimbursement of funds advanced by Jewish Family & Children’s Service, Inc., and Jewish Family and Children’s Foundation, Inc. (the “Obligors,” which term includes for purposes of this Notice any parent, subsidiary or other affiliate thereof) with respect to the facilities which are owned or to be owned and operated by the Obligors located at 1430 Main Street, Waltham, Massachusetts (the “Property”), (including without limitation such financing, refinancing or reimbursement of bond reserves, interest and issuance costs), in particular the proceeds of the Series 2014 Bonds were loaned to the Obligors for the purposes of:

    (A) the current refunding the $5,080,000 Massachusetts Development Finance Agency Revenue Bonds, Jewish Family and Children’s Foundation Project, Series 2004, (B) the construction of improvements to the Property, and (iii) the payment of costs of issuance of the Series 2014 Bonds.

    The Series 2014 Bonds, as to be amended, will constitute qualified 501(c)(3) bonds for charitable purposes, will not constitute a general obligation of, or a pledge of the faith and credit of MassDevelopment or a general obligation of, or a debt or pledge of the faith and credit of The Commonwealth of Massachusetts.
